1. TERMS AND CONDITIONS OF SALE

BY PURCHASING ANY GOODS FROM CHAD MCKINNEY, LLC d/b/a QUICK DRAW BRAND (HEREINAFTER REFERRED TO AS “SELLER”) OR USING THIS WEBSITE, I (THE BUYER UNDER THIS AGREEMENT, HEREINAFTER REFERRED TO AS “BUYER”) ACKNOWLEDGES ACCEPTANCE OF THE FOLLOWING TERMS AND CONDITIONS OF SALE (“TERMS”). THESE TERMS, TOGETHER WITH THE INFORMATION ON THE ORDER AND/OR INVOICE, ARE HEREINAFTER REFERRED TO AS THIS “AGREEMENT” AND SHALL CONSTITUTE THE ENTIRE AGREEMENT BETWEEN SELLER AND BUYER AND SUPERSEDE ANY PREVIOUS AGREEMENT OR UNDERSTANDING (ORAL OR WRITTEN) BETWEEN THE PARTIES WITH RESPECT TO THE GOODS. BUYER ACKNOWLEDGES AND AGREES THAT THE PURCHASE OF GOODS HERE UNDER SHALL NOT ENTITLE BUYER TO ANY FUTURE PURCHASE OF GOODS FROM SELLER.

Quick Draw Brand recommends that all vehicle modifications be performed by professionals. Prior to purchasing, Buyer shall make considerations for the following: 1)  Goods are sold as aftermarket, custom products, 2) some fabrication may be required for your build, 3) there may be additional conversion parts that Buyer may need to purchase from other sources as all build projects are unique, and 4) Seller may not have the capacity and resources to assist in every technical question, particularly questions related to items not directly sold by Seller.

2. EMISSIONS

Buyer represents and warrants that the part(s) purchased herein (“Goods”) will be installed and used in the application identified in the Goods description in order to maintain compliance with emissions standards. Buyer acknowledges that the failure to install the part(s) in the appropriate application may violate U.S. laws and regulations related to motor vehicle emissions and void the applicable (part(s) warranty, if any.

3. ORDERS

All orders for Goods placed by Buyer constitute an offer and are subject to acceptance by Seller. No order for Goods submitted by Buyer shall be deemed accepted by Seller unless and until confirmed in writing by Seller.

By entering an order with Seller, Buyer agrees that the Goods purchased are of the size, design, capacity and manufacture selected by Buyer, and Buyer has relied solely on its own judgment in selecting the Goods. The information on the orders, and any other terms that the Buyer seeks to impose or incorporate, or which are implied by trade, custom, practice or course of dealing, are excluded.

Seller reserves the right to cancel an order for any reason, including where Seller believes the order to be fraudulent or an error has occurred, subject to its obligation to refund any money already paid by Buyer. If Seller cancels an order, Seller shall have no liability for any resulting damages or costs suffered by Buyer.

All orders are subject to lead times based on material availability and labor market fluctuations.

Sales tax is required for all local purchases and local pick-ups.

Images depict the product but may not be up to date due to design improvements.

All orders that include the Cummins® R2.8 Crate Engine are required to have a customer provided vehicle year, make, model, and VIN for the engine conversion. This information is provided to Cummins® upon Seller ordering engine. Therefore, the customer vehicle information is directly tied to a Cummins® R2.8 Engine Serial Number (ESN). Due to the fact that the customer VIN is directly tied to the ESN, any order cancellation which includes the Cummins® R2.8 Engine will be at Seller's sole discretion and will include additional charges and/or fees. 


4. RETURNS

Orders placed with and accepted by Seller may not be cancelled except with Seller’s prior written consent, which shall be at the sole discretion of Seller. All Goods ordered and delivered by Seller under this Agreement are not returnable unless agreed in writing by Seller. Buyer must submit, in writing, a request for return and follow the provisions provided in this Section 4. Buyer is responsible for all shipping fees associated with any returns of Goods unless otherwise stated in writing by Seller. Credits for all returns on Goods will be subject to, 1) a 38% handling/restocking charge and are limited to eligible items purchased from Seller, and 2) a 3% fee if original payment was made via credit card. Approved returns and subsequent credit/refund will be issued in the manner in which it was paid for by the Buyer. If Goods were purchased via credit card and approved for return/refund, then the refund will be issued back to the credit card the Goods were originally paid on.

For Goods sold in “new” condition, Seller may, within thirty (30) days of date of receipt of Goods to Buyer, agree to accept Goods for return and provide credit where: (1) Goods MUST NOT have been used or installed (2) Goods are in new and saleable condition, (3) a copy of the original invoice is presented by Buyer, (4) Seller’s Return Merchandise Authorization (RMA) form is completed, signed by Buyer, and sent to Seller in the box with the Goods being returned, (5) Goods are returned to Seller packaged and returned EXACTLY as it was shipped to Buyer, and (6) a Bill of Lading (BOL) and/or tracking number for the return shipment must be sent by Buyer to Seller. Approved refunds, price adjustments, or corrections will be issued once the Goods are returned by Buyer and inspected by Seller.

For Goods sold in “used” condition (e.g., used engines, used parts, etc.), said Goods are sold “as-is”, no warranty. Goods in “used” condition may be scratched, dented, rusty, dirty, etc.; this does not qualify as a defect.

Exceptions for returns and/or cancellations for the Cummins® R2.8 Crate Engine are listed in section 3 above.

Please note that there is no guarantee of being able to return the Goods to Seller as this decision is based on Seller’s sole discretion. Failure by the Buyer to follow any of the provisions above will render the ability to return Goods as null and void.

Seller’s employees or agents are not authorized to make any representations concerning the Goods unless confirmed by the Seller in writing. Buyer acknowledges that it does not rely on and waives any claim for breach of any such representations which are not so confirmed.

5. PRICE AND PAYMENT

The price of the Goods shall be Seller’s quoted price and shall be in US dollars. Available payment methods will be presented at the time of purchase. For international shipments, Seller only accepts wire transfer as a method of payment.

Seller shall invoice Buyer for the price of the Goods, shipping costs (if any) and applicable local and/or federal sales and/or use taxes at the time of shipping. Buyer shall be responsible for all credit card costs associated with making payment to Seller, wire transfer fees, and any currency exchange fees. For international purchases, Buyer shall be responsible for the costs listed above, and in addition, all duties, tariffs, and other expenses related to the import/export of the Goods.

All invoices, payment, and shipping notifications shall be electronic, unless otherwise agreed to in writing by Seller. 

6. SHIPMENT AND DELIVERY

Unless otherwise specified Goods supplied under this Agreement shall be delivered EXW (ExWorks as defined in the most recent version of the Incoterms).

Seller will coordinate the shipping of the Goods to Buyer via a third-party common carrier (FedEx, UPS, USPS, DHL, or YRC Freight) on your behalf and Buyer hereby agrees and acknowledges that delivery of the Goods, including the transfer of title and risk of loss, will occur at the time and location your Goods are loaded onto the common carrier’s transport. Seller does not purchase insurance on freight shipments. If Buyer would like insurance on a freight shipment, Buyer must contact Seller to arrange for the shipment to be insured. All shipments of Goods from Seller will require signature from Buyer upon delivery to ensure a chain of custody is recorded and Goods are received by the intended Buyer.

In the event Buyer would like more accelerated shipment or to choose their own shipment carrier, this must be arranged between Buyer and Seller. Buyer will be responsible for all shipping and insurance charges if choosing a non-standard shipping method.

Packing method, shipping documents and manner, route and carrier and delivery shall be as Seller deems appropriate. Seller is not responsible for any damage to packages during shipping. Seller significantly cushions all Goods while packaging to ensure part integrity remains intact and Goods arrive as sold. Notwithstanding secure packaging, damage can happen while in transit. Buyer shall notify Seller immediately (see this Section 5, last paragraph) and provide photographic proof of package damage so that Seller may assist in filing a claim with carrier.

For international shipments, please contact Seller directly to arrange the best and most cost- effective method of shipment. Please note that Buyer is responsible for all costs and paperwork related to the export and/or import of Goods, including but not limited to taxes, customs duties and fees, commercial invoices, and import/export declarations.

For freighted Goods in “used” condition, said Goods will be shrink-wrapped, have ¾ inch steel banding to secure the Goods, and be placed and secured on a double thick pallet. If Buyer would like these Goods to be shipped in a wooden crate, Buyer will have to arrange this with Seller pay an additional charge.

Offloading, handling, and placement of the Goods and crane services are the responsibility of Buyer.

Any dates quoted for delivery of the Goods are approximate only. Seller shall not be liable for any damages for any failure or delay in delivery of Goods howsoever caused. Lead times on Goods may vary based on product availability, supply chain constraints, and manpower. Please contact Seller directly for the most updated information.

If Buyer fails for whatever reason to take delivery of the Goods, Seller may: (1) store the Goods at Buyer’s costs and risk until actual delivery up to thirty (30) days and charge Buyer for reasonable storage costs including transport, handling, and insurance; and/or (2) sell the Goods after notifying Buyer in writing of its intention to do so and claim the greater of the difference between the selling price of the Goods and the invoiced price, plus liquidated damages of fifteen percent (15%) of the invoice price of the Goods.

Buyer shall inspect the Goods upon delivery, before offloading, for damage, defects, and shortage. Any and all claims which could have been discovered by such inspection shall be deemed absolutely and unconditionally waived unless noted by Buyer on the bill of lading. Where Goods are alleged to be non-conforming or defective, written notice of defect must be given to Seller within two (2) days from date of delivery after which time the Goods shall be deemed accepted. Any claim by Buyer must incorporate all relevant details and information, and Buyer shall provide Seller or its agents with reasonable access to inspect the Goods. Seller shall have a commercially reasonable period of time in which to correct such non-conformity or defect. If non-conformity or defect is not eliminated to Buyer’s satisfaction, Buyer may reject the Goods (but shall protect the Goods until returned to Seller) or allow Seller another opportunity to undertake corrective action. No deductions will be taken against charges by Seller for the Goods for any reason unless approved in writing by Seller. All replaced Goods shall become Seller’s property.

Buyer shall inspect the contents of the shipped Goods within fifteen (15) calendar days of receipt of Goods to report any missing items. After that period, Buyer will be charged retail cost of any missing items.

7. RISK AND LOSS OF TITLE

Risk of damage to or loss of the Goods and title shall pass to Buyer upon Seller’s delivery to the carrier.

8. FORCE MAJEURE

Failure of Seller to fulfill or perform its obligations under the Agreement shall be excused by any cause beyond Seller’s control, including, but not limited to: fire, flood, strike, insurrection, war, terrorism, inability to obtain raw materials, or delays in transit or delivery. In the event the occurrence of such event interferes with Seller’s performance of its obligations, Seller may, at its option, cancel this Agreement or any part thereof without any liability to Buyer resulting therefrom.

9. WARRANTY

Seller is a retailer for Cummins® products, but is not a representative of Cummins®, nor does Seller have any affiliation with the manufacturing of Cummins® products.

Seller is a retailer for Tremec® products, but is not a representative of Tremec®, nor does Seller have any affiliation with the manufacturing of Tremec® products.

Warranty claims on new Cummins® products must be resolved through Cummins® warranty process found here: https://shopcummins.com/pages/warranty. Please note that Cummins® warranty only applies to Buyers within the United States. Cummins® Warranty does not cover Goods sold to Buyers outside of he United States. If outside of the United States, the Goods are sold AS-IS.

Seller produces custom aftermarket Goods. Therefore, all Goods are sold “as-is”,  where is, with no warranty expressed or implied.

10. INDEMNITY

Buyer shall indemnify, defend and hold Seller harmless from and against any and all claims, actions, costs, expenses, damages and liabilities, including reasonable attorneys’ fees, brought against or incurred by Seller related to or arising out of this Agreement or the Goods, parts or services supplied under this Agreement (collectively, the “Claims”), where such Claims were caused or contributed to by, in whole or in part, the acts, omissions, fault or negligence of the Buyer. Buyer shall present any Claims covered by this indemnity, including any tenders for defense and indemnity by Seller to its insurance carrier unless Seller directs that the defense will be handled by Seller’s legal counsel at Buyer’s expense.

11. LIMITATION OF LIABILITY

NOTWITHSTANDING ANY OTHER TERM OF THIS AGREEMENT, IN NO EVENT SHALL SELLER AND/OR THEIR DIRECT OR INDIRECT SUBSIDIARIES AND AFFILIATES AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES OR AGENTS BE LIABLE TO BUYER OR ANY THIRD PARTY FOR ANY GENERAL, PECUNIARY, NON-PECUNIARY, INDIRECT, ECONOMIC, SPECIAL, COMMERCIAL, INCIDENTAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES (INCLUDING, WITHOUT LIMITATION, LOST PROFITS, LOSS OF BUSINESS REVENUE OR EARNINGS, LOST DATA, LOSS OF OPPORTUNITY, AND DAMAGES CAUSED BY DELAYS OR A FAILURE TO REALIZE EXPECTED SAVINGS) IN ANY WAY RELATED TO OR ARISING FROM SELLER’S SUPPLY OF GOODS UNDER THIS AGREEMENT OR THE USE OR PERFORMANCE OF GOODS SUPPLIED UNDER THIS AGREEMENT. BUYER WAIVES AND RELEASES SELLER OF AND FROM ANY AND ALL LIABILITY FOR ANY LOSS, DAMAGE, EXPENSE OR INJURY, INCLUDING DEATH, WHICH BUYER OR ANY THIRD-PARTY MAY SUFFER RESULTING FROM BUYER’S OR THIRD PARTY’S USE OF GOODS SUPPLIED UNDER THIS AGREEMENT DUE TO ANY CAUSE WHATSOEVER, INCLUDING ANY ACT, OMISSION, FAULT, NEGLIGENCE, BREACH OF CONTRACT, TORT, STRICT LIABILITY, OR BREACH OF ANY STATUTORY OR OTHER DUTY OF CARE OWED BY SELLER. IN NO EVENT SHALL SELLER’S LIABILITY TO CUSTOMER OR ANY THIRD PARTY CLAIMING DIRECTLY, THROUGH CUSTOMER OR ON CUSTOMER’S BEHALF UNDER THIS AGREEMENT EXCEED THE TOTAL COST OF GOODS SUPPLIED BY SELLER UNDER THIS AGREEMENT.

12. INTELLECTUAL PROPERTY

Any intellectual property rights created by Seller in the course of the performance of this Agreement or otherwise shall remain Seller’s property. Nothing in this Agreement shall be deemed to have given Buyer a license or any other rights to use any of the intellectual property rights of Seller. All rights not expressly granted to Buyer under this Agreement are expressly reserved by Seller.

13. GOVERNING LAW AND JURISDICTION

This Agreement shall be governed by, and construed according to, the internal laws of the State of Ohio and, additionally, with respect to Goods delivered outside the United States, the United States of America (in any case, without reference to principles of conflicts of laws). THE RIGHTS AND OBLIGATIONS OF THE PARTIES SHALL NOT BE GOVERNED BY THE 1980 U.N. CONVENTION ON CONTRACTS FOR THE INTERNATIONAL SALE OF GOODS.

If a dispute arises under or relating to this Agreement in any way, the parties will endeavor to resolve the dispute amicably and will use commercially reasonable efforts to resolve any such dispute. If the parties’ do not resolve the dispute within sixty (60) days of first written request, either party may request that the dispute be settled and finally determined in accordance with the provisions below.

This Agreement and all matters arising hereunder shall be governed by and construed in accordance with the laws of the State of Ohio. The parties specifically agree that any action brought by a party to enforce any of the provisions of this Agreement shall be brought, heard and determined exclusively in either the Circuit Court for the County of Warren, State of Ohio or, if subject matter jurisdiction exists, the U.S. District Court for the Southern District of Ohio. The parties stipulate that the referenced venues are convenient. The parties acknowledge that all directions issued by the forum court, including, without limitation, all injunctions and other decrees, shall be binding and enforceable in all jurisdictions and countries.

14. COMPLIANCE

Buyer shall comply with all laws applicable to its activities under this quote, including, without limitation, any and all applicable national, provincial, and local anti-bribery, environmental, health, and safety laws and regulations then in effect. Buyer agrees that any Goods subject to emissions regulations shall be used in accordance with the Goods’ intended application. Buyer acknowledges that the Goods, and any related technology that are sold or otherwise provided hereunder may be subject to export and other trade controls restricting the sale, export, re-export and/or transfer, directly or indirectly, of such Goods or technology to certain countries or parties, including, but not limited to, licensing requirements under applicable laws and regulations of the United States, the United Kingdom and other jurisdictions. It is the intention of Seller to comply with these laws, rules, and regulations. Any other provision of this Agreement to the contrary notwithstanding, Buyer shall comply with all such applicable all laws relating to the cross-border movement of goods or technology, and all related orders in effect from time to time, and equivalent measures.

Buyer shall comply with all applicable export control and economic sanctions, rules and regulations relating to the cross-border movement of goods or technology, including but not limited to: the U.S. Department of State, the Export Administration Regulations (“EAR”) administered by the U.S. Department of Commerce, the economic and trade sanctions programs administered by the U.S. Department of Commerce and the U.S. Department of Treasury, and all related orders in effect from time to time, and equivalent measures.

Buyer shall act as the importer of record with respect to the Goods and shall not resell, export, re-export, distribute, transfer, or dispose of the Goods or related technology, directly or indirectly, without first obtaining all necessary written permits, consents, and authorizations and completing such formalities as may be required under such laws, rules, and regulations. In addition, Seller has in place policies not to distribute its products for use in certain countries based on applicable laws and regulations including but not limited to UN, U.S., UK, and European Union regulations. Buyer undertakes to perform its obligations under this Agreement with due regard to these policies. Strict compliance with this provision and all laws of the territory pertaining to the importation, distribution, sales, promotion and marketing of the Goods is a material consideration for Seller entering into this Agreement with Buyer and continuing this Agreement for its term. Any failure by Buyer to comply with these provisions will constitute a default giving Seller the right to immediate termination of this Agreement and/or the right to elect not to recognize the warranties associated with the Goods. Buyer shall accept full responsibility for any and all civil or criminal liabilities and costs arising from any breaches of those laws and regulations and will defend, indemnify, and hold Seller harmless from and against any and all fines, penalties, claim, damages, liabilities, judgments, costs, fees, and expenses incurred by Seller or its affiliates as a result of Buyer’s breach.
